Running Annual Reporting Process and FAQs

What financials are needed?

The financials need to be the same type as you submitted to launch your campaign, which is based on the offering maximum of your campaign.

If you want to confirm what type of financials are needed, please review your current Form C Financial Sections.

If your company has sold securities in a Regulation CF offering, you are required to file a Form C-AR annually, regardless of whether your campaign is still open or closed.

If your fiscal year ends on December 31, StartEngine requests financial statements by April 1 to ensure timely filing by the SEC’s April 30 deadline.

If you would like to close your campaign before 4/30 (or 120 days after your fiscal year end), you are still required to file a
Form C-AR.

If you are filing a Form C-AR and not conducting a new offering, the financial statements for your two most recent fiscal years (or since inception) must be prepared in accordance with U.S. GAAP and certified by your principal executive officer. If you already have reviewed or audited financials available for your most recent fiscal year, those should be used instead.

You are required to post your annual report along with the financial statements on your company website.

What is the process for filing the Form C-AR?

We will be sharing a unique link with the Form C-AR generator for you to upload your financials. You will be receiving those instructions in March.

Will StartEngine be filing the Form C-AR on our behalf?

As you are a StartEngine Secure Client, StartEngine can file the Form C-AR on your behalf. StartEngine will not be reviewing the filings, merely facilitating the filing service. It is your responsibility to ensure the accuracy of the Form C-AR as you are liable for any misstatements or omissions.

This service comes included in our annual fee charged on a per-investor basis. If you have already paid for this year’s fees, you should be all set. We’ll be sending out any overdue invoices if you still need to pay.

What is the deadline for the Form C-AR?

The SEC requires the Form C-AR to be filed no later than 120 days after the end of your fiscal year. For companies with a December 31 year-end, this means the filing is due by April 30. As StartEngine is filing on your behalf, we require the Financials to be submitted by April 1st.
