Inside Investors
Inside investments must be disclosed to our team as they are made, and they cannot be cancelled. Please also note that any investment that hasn't cleared our AML/KYC process will be cancelled after 14 days.
StartEngine's policy: Insiders may invest in their company's offering before the company meets its minimum funding goal. After the minimum is met, insiders may also invest as long as the investment is disclosed in the offering materials per the requirements below.
Who is an insider? For the purposes of StartEngine's policy, an “insider” includes, but is not limited to, corporate officers and members of the board of directors, and direct family members or members of the household of any of these people. Direct family members include parents, spouses, and children.
If your company wants insiders to invest, this must be disclosed on the Form C. How that happens depends on timing:
If your company has not launched, your onboarding manager and our Compliance & Legal team can help you insert the proper language into your Form C.
If your company has launched and you did not previously include insider investment disclosures, your Form C will have to be amended. Please review What are Amendments? and note this may require a material amendment.
