What amendments are free of charge during my Reg CF offering?

Material amendments have a $1,000 filing fee; non-material amendments do not have a filing fee.

Any change to the terms of an offering — including adjusting the target funding goal, extending the campaign by changing the end date, or changing the price of the security — is a material change and requires all existing investors to reconfirm within 5 business days. Because this takes significant effort from our team (filing the amendment, re-creating the agreements, and contacting every investor multiple times), we charge $1,000 for these amendments.

That said, StartEngine will file and reconfirm all investors free of charge for any company expanding their maximum funding goal within 2 weeks of reaching that maximum.

For example, if a company's maximum funding goal is $107,000, they have 2 weeks from reaching $107,000 to submit their Independent Account Review so StartEngine can file their Form C free of charge. You do not need to wait until your offering reaches the maximum to begin your account review, so we recommend starting sooner rather than later.
